If you acquired a product listed below, the additional terms and conditions applicable to that product apply to you in addition to the master subscription agreement or similar agreement between SugarCRM Inc. and you (the ” Agreement“).

These terms and conditions govern in the event of any conflict with the Agreement. Capitalized terms not defined herein have the meanings given in the Agreement.

Sugar Automate (formerly Customer Journey Plug-in for SugarCRM)
Customer must have an active subscription to any of Sugar Sell, Sugar Professional, Sugar Enterprise, or Sugar Ultimate to use Sugar Automate (formerly Customer Journey Plug-in for SugarCRM). Use of Sugar Automate is subject to the SugarCRM Inc. Master Subscription Agreement.

Sugar Connect2
Sugar Connect interoperates with your Sugar product instance or environment. Sugar may update and modify Sugar Connect at its sole discretion and without notice to you.

Sugar Connector for LinkedIn® Sales Navigator1
Customer must have an active subscription to any of Sugar Sell, Sugar Professional, Sugar Enterprise, or Sugar Ultimate to use Sugar Connector for LinkedIn Sales Navigator. Use of the Sugar Connector for LinkedIn Sales Navigator is subject to the SugarCRM Inc. Master Subscription Agreement.

Notwithstanding anything to the contrary contained in the Master Subscription Agreement, you may not modify any code to Sugar Connector for LinkedIn Sales Navigator. Users must have an active license to LinkedIn Sales Navigator and sign-in with their LinkedIn credentials to gain access to LinkedIn website content (“Content”).

Users must comply with their applicable LinkedIn agreement and may not:

  • Impersonate a LinkedIn member or misrepresent any member or other third party when requesting or publishing information;
  • Use LinkedIn Sales Navigator or the Sugar Connector for LinkedIn Sales Navigator (i) for any illegal or unauthorized purposes, or (ii) in a manner that breaches any laws or regulations regarding privacy, or violates any rights of third parties;
  • Copy, reformat, reverse-engineer, or otherwise modify Sugar Connector for LinkedIn Sales Navigator, associated APIs, Access Codes, or the LinkedIn service; or
  • Interfere with or disrupt the Sugar Connector for LinkedIn Sales Navigator or LinkedIn service or servers or networks connected to the LinkedIn service, or disobey any requirements, procedures, policies or regulations of networks connected to the LinkedIn service.

Sugar Hint1
Sugar Hint provides access to certain Content. You are required to purchase a subscription to Hint equal to the number of Subscription Users subscribed by you for the Sugar products that will be used with Sugar Hint. Certain Content may only be accessed through Sugar Hint and such Content may only be saved within the database associated with your Sugar product instance. Your administrator(s) may reassign Sugar Hint use rights during the Subscription Term if a former Sugar Hint Subscription User no longer requires access to or uses Sugar Hint. You are prohibited from making any customizations to Sugar Hint or accessing the Hint data services through means other than the Sugar Hint front end.

SugarIdentity
SugarIdentity is deployed in SugarCloud and Customer’s use thereof is subject to terms and conditions applicable to a SugarCloud deployments, including when Customer subscribes to SugarIdentity for use with other Sugar solutions deployed On-Site. Sugar may update and modify SugarIdentity at any time at its sole discretion and without notice.

Sugar Integrate
Each Sugar Integrate subscription grants the right to connect your Sugar product to one pre-defined single instance of an external system.

Each Sugar Integrate subscription is limited to 2,000,000 Tasks per month. Task overage fees will be applicable, due and payable to Sugar if customer exceeds the monthly Task limit. Sugar will provide written notification if customer exceeds such task limits.  Implementation service hours are required and must be purchased separately.

Sugar Market Services
Sugar Market Services is a combined onboarding and ongoing managed service solution that is a required addition for the first year of your Sugar Market contract. After the first year, Market Services will automatically renew for additional one-year subscription terms unless cancelled by the customer within 90 days prior to the expiration thereof.

Sugar Market
Your use of Sugar Market is subject to a “Database Cap” on the quantity of “Allowable Contacts” in the system. Allowable Contacts are sold in blocks of 10,000 (each, a “Contact Block”), and the quantity you have purchased is defined on the Sugar Order Form.

Sugar Market does not restrict you from creating or importing additional contacts above the Database Cap. However, Sugar will notify you via email if the number of Allowable Contacts is approaching (>80%) or has exceeded the Database Cap (>100%).

The database cap can be increased by purchasing additional Contact Block(s) for the duration of the then-current subscription term. Please note, during a subscription term, there is no refund or cancellation of additional Contact Blocks, even if the quantity of Allowable Contacts is reduced at a later date to a lower bracket level.

Sugar will grant you a 4-week grace period – to give you time to reduce your list of contacts if you desire – before issuing an invoice for the additional Contact Block(s). If at the end of the 4-week grace period, the number of Allowable Contacts still exceeds the Database Cap, Sugar will issue an invoice for additional Contact Block(s), pro-rata to the end of your current subscription term at Sugar’s then-current rate.

For the purposes of clarity, if your current Database Cap is 10,000 (10K), and Sugar Market calculates you have 10,001 Allowable Contacts, this will constitute an overage that triggers the start of the 4-week grace period, then if still applicable, the sale of an additional Contact Block.

Sugar Portal
Sugar Portal is designed by Sugar to communicate with certain other Sugar products. “Portal User” means an individual who is an employee of one of your customers who is permitted to access and use Sugar Portal.

A Sugar Portal subscription entitles you to a non-exclusive, revocable, non-transferable right to access and use Sugar Portal in a development and production environment during the Subscription Term solely for your own internal business purposes and limited to the number Portal Users subscribed by you. Portal User accounts cannot be shared or used by more than one individual. Subscription to Sugar Portal entitles one of your employees to access and use Sugar Portal for administration purposes only (i.e., to provide access to Portal Users).

sales-I for Sugar
The sales-i for Sugar Application Services are offered with reasonable skill and care. The Application Services, and any audio and/or visual information, documents, software, products or services contained or made available therein are otherwise furnished on an “as is” basis.

Triblio for Sugar
Your use of Triblio for Sugar is subject to the Master Subscription Agreement between SugarCRM and you (the “Agreement”) and is not subject to a separate agreement with Triblio Inc. Triblio Inc. is an intended third-party beneficiary under the Agreement.

Non-Standard User Types.  The following terms apply to Customer’s use of non-standard User types described below: 

Limited Use” Subscription User means the Subscription User is only authorized to (i) Edit records in the Contacts, Accounts, Tasks, Calls, Meetings, and Notes modules and up to 5 custom modules; (ii) View access to all other modules included in the subscribed product; (iii) Configure and View dashboards and Reports; (iv) Edit Activity Streams; and (v) Run Advanced Workflows (collectively, the “Limited Use Restrictions”). Limited Use Subscription Users are not authorized to use any other features or modules in any other manner. Capitalized terms not defined herein have the meanings given in the Sugar documentation under “Role Management – Module Level Permissions”. Customer acknowledges there is not a separate Sugar “Limited Use” product deliverable, and as a result, Sugar will provide the standard Sugar Enterprise, Sugar Sell, or Sugar Serve product to Customer as part of Customer’s purchase of Limited Use Subscription Users. Customer also acknowledges that the product does not contain technical restrictions to limit the usage, and therefore Customer is responsible for and agrees to limit access in accordance with the Limited Use Restrictions.  Within 30 days following Sugar’s request for the same, Customer will certify that it has complied with the Limited Use Restrictions applicable to each Limited Use Subscription User. If Customer fails to comply with the Limited Use Restrictions, the Subscription Users will be reclassified as standard Subscription Users, and Customer must pay any additional Subscription Fees applicable thereto. Sugar reserves the right to audit compliance at any time.  

Read-Only Use” Subscription User means the Subscription User is only authorized to use the Sugar product in a read-only manner (“Read-Only Use Restriction”). Notwithstanding the foregoing, Read-Only Use Subscription Users may (i) Configure and View Dashboards and Reports and (ii) Edit Activity Streams. Read-Only Use Subscription Users are not authorized to use any other features or modules in any other manner. Capitalized terms not defined herein have the meanings given in the Sugar documentation under “Role Management – Module Level Permissions”. Customer acknowledges there is not a separate Sugar Read-Only Use product deliverable and as a result Sugar will provide the standard product to Customer as part of Customer’s purchase of a Read-Only Use Subscription User. Customer also acknowledges the product does not contain technical restrictions to limit the usage and therefore Customer is responsible for and agrees to limit access in accordance with the Read-Only Use Restriction. Within 30 days following Sugar’s request for the same, Customer will certify that it has complied with the Read-Only Use Restriction applicable to each Read-Only Use Subscription User. If Customer fails to comply with the Read-Only Use Restriction where applicable, the Subscription Users will be reclassified as standard Subscription Users and Customer must pay any additional Subscription Fees applicable thereto. Sugar reserves the right to audit compliance at any time.  

“Portal Use” Subscription User authorizes an individual who is an employee of Customer’s customer who is permitted to access and use the Portal (a “Portal User”). With Portal Use Subscription, a Portal User is only authorized to (i) Access the Portal of the Sugar product; (ii) Register as a user of the Portal and manage their user profile; (iii) Access, search, and view articles from the Knowledge Base of the Portal; (iv) Submit and view Cases through the Portal; and (v) Submit and view Bugs through the Portal. Portal Users are not authorized to use any other features or modules in any other manner and a Portal Use Subscription may not be shared with more than one individual. Capitalized terms not defined herein have the meanings given in the Sugar documentation under “Role Management – Module Level Permissions and Developer Tools – Sugar Portal”. Customer acknowledges the product does not contain technical restrictions to limit the usage, and therefore Customer is responsible for and agrees to limit access in accordance with the Limited Portal Use Restrictions and individual user limitations specified above. Within 30 days following Sugar’s request for the same, Customer will certify that it has complied with the Restrictions applicable to each Portal User. If Customer fails to comply with the Restrictions where applicable, the Portal Use Subscription Users will be reclassified as standard Subscription Users and Customer must pay any additional Subscription Fees applicable thereto. Sugar reserves the right to audit compliance at any time.

“Indirect Use” Subscription User means the Subscription User who is an employee of Company is only authorized to access Sugar product features through an intermediary application that is not a Sugar product. The intermediary application will use the Sugar Application Programming Interfaces (APIs) to access Sugar features. Indirect Use Subscription User accounts cannot be shared or used by more than one individual. Customer acknowledges that every individual accessing Sugar features through an intermediary application must have a unique Indirect Use Subscription User subscription, even if the intermediary applications are implemented so that a single Sugar User account is employed to access the Sugar product via the Sugar APIs. Indirect Use Subscription users are not authorized to use any other features or modules in any other manner. Capitalized Terms not defined herein have the meanings given in the Sugar documentation under “Role Management – Module Level Permissions”. Customer acknowledges there is not a separate Sugar Indirect Use subscription product deliverable, and as a result, Sugar will provide the standard Sugar product to Customer as part of its purchase of Indirect Use Subscription Users. Customer also acknowledges the product does not contain technical restrictions to limit its usage, and therefore Customer is responsible for and agrees to limit access in accordance with the above restrictions.  If Customer fails to comply with these restrictions, the Indirect Use Subscription Users will be reclassified as standard Subscription Users and Customer must pay any additional Subscription Fees applicable thereto. Sugar reserves the right to audit compliance at any time.
